These Terms of Service ("Terms") govern your access to and use of the AXIOM AI compliance verification platform ("Service") operated by Garmo Labs, LLC ("Company," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
AXIOM is a real-time AI compliance verification platform. The Service provides:
The Service is delivered as a hosted cloud platform at axiom.garmolabs.com and, for Enterprise customers, as on-premises compiled software.
3.1. Registration. You must provide a valid email address to create an account at axiom.garmolabs.com/signup. Upon signup, you receive an API key (format: `axm_...`) for authentication.
3.2. API Key Security. Your API key authenticates all requests to the Service via the `Authorization: Bearer` HTTP header. You are responsible for keeping your API key confidential. Do not embed API keys in client-side code, public repositories, or unsecured environments. If you believe your key has been compromised, contact support@garmolabs.com immediately. You may rotate your key at any time via the API.
3.3. Account Responsibility. You are responsible for all activity under your account, including verifications, agent registrations, regulation loads, policy configurations, and API calls made using your key.
3.4. Age Requirement. You must be at least 18 years old or the age of legal majority in your jurisdiction.

4.2. Payment. Paid plans are billed monthly in advance via Stripe, Inc. All fees are in US dollars and non-refundable except as required by applicable law.
4.3. Usage Limits. Each plan includes a monthly verification limit. A "verification" is one call to the `/api/v1/verify` or `/api/v1/verify-action` endpoint. When you reach your limit, verification requests will return HTTP 429 until the next billing cycle or until you upgrade. The Free tier limit resets on the first of each calendar month.
4.4. Price Changes. We may change pricing with 30 days written notice to the email address on your account.
5.1. Permitted Use. You may use the Service to verify AI agent compliance, generate compliance reports and certificates, monitor AI systems in production, configure policies and gates, and test for bias, toxicity, drift, hallucination, and privacy leaks.
5.2. Prohibited Use. You may NOT:
5.3. AI Training Prohibition. You may not use AXIOM outputs, reports, certificates, API responses, error messages, dashboard content, or any content generated by or describing the Service as training data for any machine learning or artificial intelligence model. This prohibition includes fine-tuning, distillation, reinforcement learning from human feedback, synthetic data generation, and any other method of incorporating Service outputs into model weights or training datasets. Violation constitutes misappropriation of trade secrets under the Defend Trade Secrets Act (18 U.S.C. § 1836) and breach of contract.
5.4. Compliance Reports Are Informational. AXIOM compliance reports indicate whether submitted agent states satisfy registered compliance properties at the time of verification. Reports do NOT constitute legal advice, regulatory certification, legal opinions, or guarantees of regulatory compliance. You are solely responsible for ensuring your AI systems comply with applicable laws and regulations. Consult qualified legal counsel for regulatory compliance guidance.
6.1. Our IP. The Service, including its software, architecture, algorithms, compliance property definitions, regulatory framework mappings, signing methodology, regulation packs, policy engine logic, safety testing methods, dashboard, certificate portal, and all source code, is the exclusive property of Garmo Labs, LLC. The system is protected by:
6.2. Your Data. You retain full ownership of all data you submit to the Service, including agent state dicts, action contexts, custom compliance properties, policy rules, and monitoring configurations.
6.3. License to Process. You grant us a limited, non-exclusive license to process your data solely to operate the Service, generate compliance reports, and maintain system reliability. We do not use your data to train models, build competing products, or for any purpose beyond providing the Service.
6.4. Your Reports. Compliance reports and certificates generated by the Service are your property. You may distribute, file with regulators, publish, and archive them without restriction.
7.1. Compiled Software. Enterprise customers receive the Service as compiled binary software (not source code). The software is delivered as a Docker container image with all Python code compiled to native shared objects.
7.2. License Key. Enterprise deployments require a valid license key (`AXIOM_LICENSE_KEY`). The license key is validated at startup via phone-home to our license server. If phone-home fails, the key is validated offline via cryptographic signature verification.
7.3. Restrictions. You may not decompile, reverse engineer, disassemble, or attempt to derive source code from the compiled software. You may not extract, copy, or redistribute the compiled software beyond the licensed deployment.
7.4. NDA Required. Enterprise deployment discussions, architecture reviews, and technical integrations require a signed mutual NDA before any proprietary information is shared.
8.1. Free, Starter, and Professional Plans. The Service is provided on a best-effort availability basis. No uptime guarantee.
8.2. Enterprise Plan. 99.9% monthly uptime SLA, measured at the `/health` endpoint. If uptime falls below 99.9% in a calendar month, you are entitled to service credits equal to 10% of that month's fee for each additional 0.1% of downtime, up to a maximum of 30% of the monthly fee.
8.3. Scheduled Maintenance. We may perform maintenance with 24 hours email notice. Scheduled maintenance windows do not count against the uptime SLA.
8.4. Exclusions. The SLA does not cover downtime caused by: (a) your equipment or network; (b) force majeure events; (c) scheduled maintenance; (d) abuse or misuse of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ALL DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GARMO LABS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO GARMO LABS, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE TIER USERS, OUR TOTAL LIABILITY SHALL NOT EXCEED $100.
You agree to indemnify, defend, and hold harmless Garmo Labs, LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any compliance report or certificate submitted to a regulatory authority based on Service output; or (e) any claim that data you submitted to the Service infringes a third party's rights.
12.1. By You. You may cancel your account at any time by emailing support@garmolabs.com. Cancellation takes effect at the end of your current billing period.
12.2. By Us. We may suspend or terminate your account immediately if: (a) you violate these Terms; (b) you fail to pay fees when due; (c) we reasonably believe your use poses a security risk to the Service or other users; or (d) as required by law.
12.3. Effect of Termination. Upon termination: your API key is immediately revoked; access to the API, Dashboard, and Certificate Portal ceases; your compliance reports and certificates generated prior to termination remain your property. We will retain your account data for 30 days after termination, after which it will be permanently deleted unless retention is required by applicable law.
We may modify these Terms at any time by posting the updated Terms at axiom.garmolabs.com/terms and notifying you via the email on your account at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of California. You irrevocably consent to the jurisdiction of such courts and waive any right to a jury trial.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy (axiom.garmolabs.com/privacy), constitute the entire agreement between you and Garmo Labs, LLC regarding your use of the Service, and supersede all prior or contemporaneous agreements, representations, and understandings.
